For any matter arising under this Agreement, the Parties consent to the jurisdiction of the U.S. District Court for the Southern District of West Virginia where federal jurisdiction exists, and to the jurisdiction of the state courts located in Greenbrier County, West Virginia if federal jurisdiction does not exist.
Indemnification. You hereby indemnify Starlifter from and against any third-party claim or judgement brought against it, plus its reasonable attorney fees and settlement costs, to the extent that such claim or judgement is caused by your breach of this agreement or applicable law.
Liability Limitations Generally. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE TO YOU FOR ANY OF THE FOLLOWING IN CONNECTION WITH YOUR USE OF THIS WEBSITE: (i) CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT, PUNITIVE, OR SPECIAL DAMAGES; (ii) FOR LOSS OF REVENUE OR PROFITS; (iii) FOR LOSS OF USE FOLLOWING ANY BREACH, DAMAGE; OR (iv) FOR ANY OTHER HARM IN CONNECTION WITH THE CONTENT OR USE OF THIS WEBSITE, WHETHER SUCH CLAIM IS BASED IN CONTRACT, EQUITY, OR TORT. Severability. If any provision of this Agreement is held to be invalid or otherwise unenforceable, the remaining provisions will be unimpaired, and the invalid or unenforceable provision will be replaced by a mutually acceptable provision that is valid and enforceable and that comes closest to the original intent of the Parties.
Term & Termination. These terms are effective until terminated by either party as follows: (1) you may terminate by discontinuing use of this site and destroying any materials obtained from this site; and (2) Starlifter may at any time and without notice discontinue publishing all or portions of this site, providing all or selected services, or otherwise terminate this agreement.
